The Intermetanet is a novel commerce operating system designed to function as a universal transaction infrastructure connecting traditional financial markets, payment networks, merchants, broker-dealers, and decentralized blockchain ecosystems through a common settlement layer. Rather than replacing existing institutions or marketplaces, the Intermetanet is intended to standardize how transactions are routed, authenticated, settled, and recorded across multiple asset classes.
The principal transaction instrument within the ecosystem is the Rousix Black Card. Consumers and businesses continue purchasing products and services from their preferred merchants without changing where they shop. Instead of settling directly through fragmented payment networks, qualifying transactions are routed through the Intermetanet before final settlement. The objective is to establish a single infrastructure capable of processing transactions ranging from everyday consumer purchases to large-scale enterprise transactions.
The same transaction architecture is designed to apply whether someone purchases a cup of coffee, groceries, clothing, airline tickets, automobiles, residential real estate, commercial equipment, insurance products, publicly traded securities, or digital assets.
During the contemplated introductory migration period, qualifying transactions may participate in a security-based economic program whose terms are defined in the applicable offering documents. Under the Rousix framework, a purchase of $1,000 would be processed as a $1,340 Intermetanet transaction. The purchaser immediately receives and retains the purchased goods or services. Any future payment rights would arise only from the governing security and its contractual terms. Subject to those terms and the performance of the security, the holder would become entitled to receive the contractual payment following the applicable holding period, allowing the transaction to function as both an immediate commercial purchase and a long-term investment interest. Any proceeds payable under the security shall be redeemable in accordance with the vesting schedule established in the applicable offering documents.
The proceeds associated with the transaction premium are intended to support deployment of Rousix Mining Machines, the computational infrastructure underlying the Intermetanet ecosystem. Each machine is designed to support the Eight Layer, Eight Token Utility Network: TXUE, AIRSP, GTMS, SPQR, UAIE, SIX, DOPE, and BRICKS, providing computing capacity and supporting the network's digital infrastructure.
The same settlement architecture is intended to support large commercial transactions. For example, if a corporation were to acquire another business using cash, stock, or a combination of both, the Intermetanet would function as the transaction infrastructure rather than the financing source.

Under this architecture, the Intermetanet does not create the acquisition capital. Instead, it provides a standardized infrastructure through which the transaction is executed and administered.
Accordingly, the same transaction infrastructure could, in principle, be used for acquisitions involving companies such as Meta Platforms, Alphabet, Amazon, Microsoft, Nvidia, Apple, Visa, or JPMorgan Chase, provided the parties voluntarily elected to use the Intermetanet as their settlement infrastructure and the transaction complied with applicable law. The existence of the platform alone would not obligate or guarantee any company to use it.
Following the contemplated migration period, the introductory incentive program would conclude, and the Intermetanet would transition to a standardized transaction allocation model.

This model envisions the Intermetanet as a common settlement infrastructure capable of integrating consumer commerce, enterprise commerce, capital markets, and digital assets within a unified operating environment, while leaving financing decisions, commercial negotiations, and legal obligations to the participating parties and the applicable regulatory framework.

UAIE connects individuals, academia, governments, enterprises, researchers, developers, and intelligent systems through immutable, user-controlled digital identities, organizing verified knowledge, credentials, research, expertise, and professional data within a unified ecosystem secured through privacy-preserving technologies, including zero-knowledge proofs. Intermetanet provides the infrastructure, UAIE provides intelligent coordination, and participants contribute the knowledge that powers a globally interoperable ecosystem for education, research, innovation, and commerce.

Rousix recognizes that if a participant voluntarily elects to pay a premium in connection with a purchase for the purpose of acquiring an investment interest or receiving investment-related economic benefits, the transaction may constitute the offer or sale of a security under applicable law. Accordingly, any such program would be conducted only pursuant to applicable federal and state securities laws, including any required registration, qualification, exemption, investor disclosures, and regulatory compliance.
Rousix's present focus remains the development of utility-based digital networks and commerce infrastructure. However, the Company is not opposed to pursuing regulated securities offerings in the future, including potential private offerings, Regulation A offerings, registered public offerings, or other capital formation initiatives, if and when determined to be in the best interests of the Company and its stakeholders.
